Fundraising & Legal Notice
Updated: August 2026 | Prepared by A.N.G.E.L. — v4.3 (Canada Phase 1)
This is a draft donor-transparency notice, not legal advice. It is pending Canadian legal review and is not a live fundraising offer.
Who we are
T.A.E.I.L. (The Afterlife Eternal: Immortal Legacy) is a pre-registration Canadian not-for-profit social enterprise in its pre-launch build phase.
T.A.E.I.L. intends to incorporate as a Federal Non-Profit under the Canada Not-for-profit Corporations Act (CNCA) before campaign launch or contribution acceptance. Its founders are Jesse H. C. Lee (Founder & CEO) and Bruno Roda (Executive Co-Founder, COO/CHO/CSO).
T.A.E.I.L. is not a CRA registered charity and is not seeking registered-charity status. It does not currently issue charitable receipts or represent contributions or membership payments as tax-deductible.
Campaign status and Platform Gate
No campaign page is currently published through T.A.E.I.L., and no contribution or Founding Membership purchase can be made through this notice.
JustGiving has been ruled out for T.A.E.I.L.’s current model. FundRazr is the presumptive platform because it has indicated that it supports all-or-nothing campaigns, pre-incorporation campaigns, and tiered prepaid memberships through Rewards/Perks. However, the platform decision is not final.
No campaign page will be published, no contribution accepted, and no eligibility, funding model, all-or-nothing mechanism, refund process, fee, funds-flow, tax, tier, pricing, benefit, or campaign-target statement treated as final until:
- Stripe or PayPal confirms in writing that the proposed structure is supported: China-resident founders, a Canadian legal entity, and CAD processing; and
- Canadian counsel reviews the FundRazr arrangement, including its terms and the Rewards/Perks characterization of prepaid Founding Membership.
Proposed use of funds
The proposed campaign has two internal planning levels:
- Proposed minimum: CAD $520,000. Intended to support safeguarding, CNCA incorporation and governance setup, MVP platform build and launch, core leadership and Technical Lead / Head of Engineering delivery, and one year of essential operations.
- Proposed stretch: CAD $1,400,000. Intended to support the responsible launch organisation and broader first-year delivery.
If the proposed stretch plan is reached and confirmed, it is intended to add a CFO; three Feature Owners; a Community Care & Trust Lead; a Knowledge & Editorial Lead; and a Member Support Specialist, alongside the CEO, COO/CHO/CSO, and Technical Lead / Head of Engineering.
These are current planning references, not fixed commitments or a live offer. They remain subject to final budget validation, platform confirmation, payment-processor verification, and Canadian legal review.
Proposed funding mechanics
FundRazr has indicated that its native all-or-nothing model authorizes contributions during a campaign and collects them only if the funding goal is reached by the deadline; if the goal is missed, contributors are not charged.
This does not yet constitute a public promise by T.A.E.I.L. The final campaign model, target, deadline, payment processing, fees, refund handling, and funds-flow disclosures will be published only after the Platform Gate has cleared and counsel has approved the wording.
Contributions and Founding Membership
T.A.E.I.L.’s current planning model is based on prepaid Founding Membership tiers. Every tier is intended as a direct purchase of future platform membership, not an open-ended donation and not a purchase of investment rights.
Founding Membership is intended to provide future platform membership and recognition of early support. It does not grant voting control, trustee authority, governance rights, ownership, equity, dividends, special constitutional influence, or preferential moderation.
Tier names, prices, benefits, availability, consumer disclosures, refund wording, fulfilment terms, and tax treatment remain subject to the Platform Gate and counsel review. No tier is currently available to purchase.
Compensation transparency
T.A.E.I.L. believes that underpaying people responsible for grief, safeguarding, technical delivery, and vulnerable members is its own kind of harm. It therefore intends to pay fairly, not minimally, and to publish transparent role-by-role compensation before any final public campaign launch.
During the planned three-month pre-launch build, core founding and technical leadership compensation is budgeted at a reduced annualized rate, pro-rated to the actual period. Once operating, compensation is intended to use a benchmark framework balancing Canadian not-for-profit and technology-sector comparators, with heightened responsibility for safeguarding, technical, and financial roles reflected appropriately.
Final role-by-role figures are pending the planned Payroll v1.3 update and will be published only when campaign materials are legally reviewed and finalised. No equity or stock-based compensation is offered.
Tax treatment
Contributions and prepaid Founding Membership payments are not currently represented as tax-deductible. T.A.E.I.L. will not make charitable-receipt or tax-deductibility claims unless and until it is legally entitled to do so and Canadian counsel has approved the wording.
Material changes and refunds
If a campaign succeeds but a later material scope, timeline, or product change is proposed, T.A.E.I.L. intends to disclose it clearly and follow the final campaign terms and applicable law.
Individual refunds after a successful campaign are not guaranteed once funds have been committed, except where required by the confirmed campaign terms or applicable law. Any final refunds policy will depend on the confirmed platform, payment processor, campaign terms, and legal review.
